Terms of Service

These Terms of Service govern your use of the services of 1001613716 Ontario Inc., operating as webfaCeMEdia ("webfaCeMEdia", "we", "us"). By engaging our services, you agree to these terms.

1. Acceptance of Terms

By accessing or using our services, submitting a project inquiry, signing a proposal, or making a payment, you agree to be bound by these Terms and all applicable laws and regulations. Your continued use of our services constitutes ongoing acceptance of these Terms, including any modifications we may make from time to time.

2. Services Provided

webfaCeMEdia provides services including:

• Website design and builds
• Website hosting and care plans
• webfaCe Desk and other platform software
• Managed marketing, including advertising, social media and email campaigns
• Custom software and app development
• Digital strategy and technical consulting

3. Client Responsibilities

To ensure successful project completion, clients are responsible for:

• Providing timely and accurate information required for project execution
• Delivering prompt feedback and approvals within agreed timeframes
• Providing necessary access to systems, accounts, and resources
• Ensuring all provided materials comply with applicable laws and regulations

4. Payment Terms

Payment terms are as follows:

• Website builds bought online are paid once, at checkout
• Other projects are invoiced on the payment schedule in the project proposal, which may include deposits and milestone payments
• Late fees may apply to overdue invoices as specified in individual agreements
• Prices are in Canadian dollars (CAD) before HST unless otherwise specified

5. Subscriptions and Cancellation

Monthly plans are handled as follows:

• Billing: monthly plans, including website hosting and care plans, webfaCe Desk and managed marketing, are billed monthly in advance
• Cancelling: you can cancel a monthly plan at any time. The plan stays active until the end of the period you have already paid for and does not renew after that
• Advertising spend: for managed marketing, ad spend is separate from our fee and is paid to the advertising platforms

6. Intellectual Property and Ownership

Ownership is handled as follows:

• Your content, contacts and domain: these stay yours at all times. This includes the pages, posts, images and files on your site, the contacts and form leads your site collects, and your domain name
• Custom work: once paid in full, you own the custom deliverables we create specifically for your project, including custom code and designs
• Platform tools: webfaCeMEdia keeps all rights to its platform and to its pre-existing tools, frameworks and methods, including the site template, the site editor platform, analytics, webfaCe Desk, the planner and the marketing tools. You may use them for as long as your plan is active
• Client materials: clients warrant they have the right to use all materials provided to us
• Third-party components may be subject to their own licensing terms

7. Leaving Us

If you stop using our services, and once all invoices are paid, we will provide on request:

• An export of your content and your contacts
• The custom code we built for your site
• Control of your domain and its settings

Platform tools, and services that depend on them, stop when your plan ends. Send requests to support@webfacemedia.com.

8. Confidentiality

Both parties agree to maintain confidentiality:

• Mutual confidentiality: all proprietary information shared during the engagement will be kept confidential
• Exceptions: this does not apply to information that is publicly available, independently developed, or required by law to be disclosed
• Confidentiality obligations survive the termination of our engagement

9. Project Scope and Changes

Project scope is managed as follows:

• Change requests: any modifications to the agreed scope must be documented through a change request
• Additional fees: scope changes may result in adjustments to project timelines and costs
• Estimates will be provided for change requests before proceeding with additional work

10. Warranties and Disclaimers

We warrant that:

• Professional standards: services will be performed in a professional and workmanlike manner
• No guarantees: except as expressly provided, all services are provided "as is" without warranty of any kind
• We do not warrant that services will be uninterrupted or error-free

11. Limitation of Liability

To the maximum extent permitted by law, webfaCeMEdia's total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to us in the six (6) months preceding the claim. This cap applies to all fees paid for the relevant services.

12. Termination

Either party may terminate the engagement under the following conditions:

• Notice periods: written notice must be provided as specified in individual agreements
• Outstanding payments: upon termination, clients remain responsible for payment of all work completed and expenses incurred
• Deposits are non-refundable unless otherwise specified

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.

YouTube API Services Terms

This application utilizes the YouTube API Services. By using our services that access YouTube content, you agree to be bound by:

• YouTube Terms of Service: https://www.youtube.com/t/terms
• Google Privacy Policy: https://policies.google.com/privacy

User Responsibilities

When using features that interact with YouTube:

• You must comply with YouTube's Terms of Service
• You may not use YouTube content in ways that violate YouTube's policies
• You acknowledge that YouTube may change or discontinue features at any time

Data Handling

We access YouTube data through official YouTube API Services. We do not store your YouTube login credentials. Any data collected is handled in accordance with our Privacy Policy and Google's API Services User Data Policy.

This application is not affiliated with, endorsed by, or sponsored by YouTube or Google. YouTube is a trademark of Google LLC.

Text Message Alerts

webfaCeMEdia (1001613716 Ontario Inc.) offers optional text message alerts to business customers who use our dashboard. When they are on, we text the mobile number you give us each time a visitor submits a form on your website. Each text names your site and the page; the details are sent to your email.

• How to sign up: enter your mobile number under Chat > Text alerts in your dashboard and tick the consent box.
• How often: it depends on your website's activity, up to 20 messages per day.
• Cost: message and data rates may apply.
• To stop: reply STOP to any message, or turn text alerts off in your dashboard.
• Help: email support@webfacemedia.com or call 647-286-5045.
• Signing up for text alerts is not a condition of any purchase.
• Mobile carriers are not liable for delayed or undelivered messages.
