These Terms of Service govern your use of webfaCeMEdia services. By engaging our services, you agree to these terms.

1. Acceptance of Terms

By accessing or using our services, submitting a project inquiry, signing a proposal, or making a payment, you agree to be bound by these Terms and all applicable laws and regulations. Your continued use of our services constitutes ongoing acceptance of these Terms, including any modifications we may make from time to time.

2. Services Provided

webfaCeMEdia provides professional services including:

  • Web development and design consulting
  • Custom software development
  • AI integration and implementation services
  • Digital strategy and technical consulting

3. Client Responsibilities

To ensure successful project completion, clients are responsible for:

  • Providing timely and accurate information required for project execution
  • Delivering prompt feedback and approvals within agreed timeframes
  • Providing necessary access to systems, accounts, and resources
  • Ensuring all provided materials comply with applicable laws and regulations

4. Payment Terms

Payment terms are as follows:

  • Invoicing will be conducted according to the agreed payment schedule outlined in project proposals
  • Payment schedules may include deposits, milestone payments, or monthly retainers as specified
  • Late fees may apply to overdue invoices as specified in individual agreements
  • All fees are quoted in Canadian dollars (CAD) unless otherwise specified

5. Intellectual Property

Intellectual property rights are handled as follows:

  • Ownership: Upon full payment, clients receive ownership of custom deliverables created specifically for their project
  • Licensing: webfaCeMEdia retains rights to pre-existing tools, frameworks, and methodologies
  • Client materials: Clients warrant they have the right to use all materials provided to us
  • Third-party components may be subject to their own licensing terms

6. Confidentiality

Both parties agree to maintain confidentiality:

  • Mutual NDA: All proprietary information shared during the engagement will be kept confidential
  • Exceptions: This does not apply to information that is publicly available, independently developed, or required by law to be disclosed
  • Confidentiality obligations survive the termination of our engagement

7. Project Scope and Changes

Project scope is managed as follows:

  • Change requests: Any modifications to the agreed scope must be documented through a formal change request process
  • Additional fees: Scope changes may result in adjustments to project timelines and costs
  • Estimates will be provided for change requests before proceeding with additional work

8. Warranties and Disclaimers

We warrant that:

  • Professional standards: Services will be performed in a professional and workmanlike manner
  • No guarantees: Except as expressly provided, all services are provided "as is" without warranty of any kind
  • We do not warrant that services will be uninterrupted or error-free

9. Limitation of Liability

To the maximum extent permitted by law, webfaCeMEdia's total liability for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to us in the six (6) months preceding the claim. This cap applies to all fees paid for the relevant services.

10. Termination

Either party may terminate the engagement under the following conditions:

  • Notice periods: Written notice must be provided as specified in individual agreements
  • Outstanding payments: Upon termination, clients remain responsible for payment of all work completed and expenses incurred
  • Deposits are non-refundable unless otherwise specified

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the courts located in Ontario, Canada.
